These Terms & Conditions constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("Client," "Candidate," or "User"), and DualStaff concerning your access to and use of our recruitment consulting, staffing, permanent placement, and executive search solutions.

2. Services Overview

DualStaff provides corporate recruitment, talent acquisition advisory, contract staffing, and executive search services. The specific scope of deliverables, fees, timelines, and guarantees for corporate clients are governed by separate Master Services Agreements (MSAs) or Statement of Work (SOW) documents executed independently.

3. User Accounts and Security

If you create an account or submit candidate/employer profiles on our platform, you are responsible for maintaining the strict confidentiality of your login credentials. You agree to accept full responsibility for all activities that occur under your account.

4. Intellectual Property Rights

All content, design systems, logos, graphics, text layout, software code, and informational assets displayed on the DualStaff platform are the exclusive intellectual property of DualStaff and are protected by international copyright, trademark, and intellectual property laws. Unauthorized reproduction or commercial distribution is strictly prohibited.

5. User Conduct & Prohibited Activities

You agree not to use the DualStaff website or services for any unlawful purpose or in any way that could damage, disable, or impair our infrastructure. Prohibited activities include:

• Submitting false, misleading, or fraudulent resume data or corporate credentials.
• Attempting to bypass platform security measures or extract source code.
• Harassing, abusing, or harming DualStaff personnel, client companies, or candidate pools.
• Using automated scraping tools or bots without explicit prior written authorization.

6. Limitation of Liability

To the maximum extent permitted by applicable law, DualStaff shall not be held liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of our services, employment placement outcomes, or website downtime. Our total cumulative liability under any circumstance shall be limited to the professional fees paid by you to DualStaff for the specific service in question.

7. Confidentiality & Data Privacy

Both parties agree to protect sensitive corporate data, trade secrets, and candidate personal identifiable information (PII) shared during recruitment mandates. Our collection and processing of personal data are governed separately under our Privacy Policy.

8. Modifications to Terms

DualStaff reserves the right to modify, amend, or update these Terms & Conditions at any time without prior notice. Continued use of our website or services following any changes constitutes your formal acceptance of the revised terms.
